1. Who this agreement is between. These terms are between DesignQube, of 51/1, Justice Ramaswamy Street, Kamaraj Ave 2nd St, Adyar, Chennai, Tamil Nadu 600020, India ("WhenShift", "we"), and the business named when its WhenShift account is created ("you"). The person who signs up accepts them for the business and confirms they may bind it. WhenShift is for employers, not consumers. The Data processing addendum is part of these terms.
2. Your account and your team. You decide who joins your account and in what role. Each person signs in as themselves. You are responsible for what the people you let in do in your account. A worker's WhenShift login is theirs: they can delete it at any time, and your records of their hours stay with you.
3. Plans.
- Free: one location and up to 20 staff working there, for good, with every feature within that limit.
- Paid: every location, every feature, charged per location a month at the price on our Pricing page for your country, before tax, billed monthly by card.
- Trial: every new account starts with 30 days of Paid and no card. Nothing is charged before the 30 days end. Then the account is on Free unless you pay.
- If your account is bigger than Free covers, you pick the location that stays free, and the staff who stay scheduled there if it has more than 20. Everything else stays visible and exportable but cannot be edited, published or clocked into until you pay. Paying turns every location back on.
4. Payment. Polar sells and charges WhenShift subscriptions as our reseller: it takes each payment, adds the tax due and issues each invoice, and its own buyer terms apply to the payment. By paying, you authorise a charge each month for every location on the account, until you cancel, change the card or close the account. Adding, archiving or restoring a location changes the next charge, and you see the new monthly amount before you confirm. If a payment fails it is retried and you are told; if you cancel while a payment is outstanding, the account moves to Free at once and the unpaid charge is withdrawn.
5. Cancelling. You can cancel in one click. Paid runs to the end of the month you paid for and then moves to Free, and you can withdraw the cancellation until then. Cancelling does not refund a paid month.
6. Price and plan changes. We tell the owner of every account about a price or plan change at least 60 days before it reaches a charge. A feature you have never moves to a higher plan. Free's limits never shrink for an account on Free.
7. Your records. The records in your account are yours. You let us hold and use them only to run WhenShift for you, as the Data processing addendum sets out, and we never sell them.
- Stopping payment moves you to Free with nothing lost. We never delete an account for sitting idle.
- The owner can export the whole account at any time, on every plan, in open formats.
- While the account is open, each record is kept for at least 3 years, or longer where the location's law requires.
- You are responsible for meeting your own employment, pay and recordkeeping law, and for what you enter, approve, publish and send to payroll.
8. Closing your account. The owner can close the account at any time. The monthly charge ends, any unpaid charge is withdrawn and unused days of a paid month are refunded. Your staff are told the rota is read-only. For 90 days the account stays read-only and every record can be exported; within those days the owner can reopen it on Free, or delete it at once after signing in again. After 90 days it is deleted.
9. Support and moving over. A person answers support around the clock, every day, on every plan, Free included, in Talk to us on our site and at support@whenshift.com. Moving over is free: you fill in our import template, or a support person maps your old tool's export into it when you ask in a support conversation, and your account's history shows that import as support's.
10. Payroll and sales connections. When you connect a payroll or point-of-sale service, or download a payroll file, the hours or sales go where you send them, under that service's terms with you. We do not run payroll or pay anyone.
11. Using WhenShift properly. You and your people must not use WhenShift against the law, reach or test another customer's account, try to break or overload the service, or copy, resell or rebuild it.
12. Changes to these terms. We email the owner each new version at least 60 days before it takes effect, and keep every version at its own address on this site. An owner who does not accept a new version can close the account before it takes effect.
13. Warranty and liability. [Warranty disclaimer] [Limitation of liability and its cap] [Indemnity]
14. Law and disputes. [Governing law and courts]
15. Language. These terms are also published in French. Where your business is in Quebec, the French version was given to you first, and where the two differ you may rely on either.
16. Notices. We send notices to the owner's email address. You send notices to support@whenshift.com.
